These Terms of Service ("Terms") constitute a legal agreement between you and Trao.ai ("Trao.ai," "Company," "us," or "we"), governing your access to and use of our website, platform, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and all policies and guidelines incorporated by reference, including our Privacy Policy and, where applicable, our EU & Swiss Privacy Policy.

Description of the Service

Trao.ai provides a platform that connects AI labs and enterprises with domain experts. The Service may include our website, applications, tools, data, and any other features or content we make available to you. We may add, change, or remove features or functionality from the Service at any time. The Service is provided "as is" and we do not guarantee that it will be uninterrupted, error-free, or free of harmful components.

Age Requirement and Eligibility

The Service is intended for users who are at least 13 years of age. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service and to agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must not use the Service if you are prohibited from receiving or using it under applicable law, or if you are located in a country that is subject to a government embargo or that has been designated by the applicable government as a "terrorist supporting" or similar country.

User Accounts and Registration

We reserve the right to suspend or terminate your access to the Service if we believe you have violated these Terms or engaged in conduct that we deem harmful to the Service or other users.

Pricing and Payment

Certain parts of the Service may be subject to fees. We will communicate applicable fees to you before you incur them. Prices are subject to change. We will provide at least 30 days' notice of any price change that affects your subscription, which may be given by posting the new prices on the Service or within the Service itself, or by email.

You are responsible for all taxes associated with your use of the Service (other than taxes on our net income). Payment terms are as specified in the order form or other agreement between you and Trao.ai. If you fail to pay any amounts when due, we may suspend or terminate your access to the Service.

Your use of such third-party services may be subject to additional terms and policies. Trao.ai does not endorse and is not responsible for the content, privacy practices, or availability of any third-party services.

You use third-party services at your own risk. We are not liable for any loss or damage arising from your use of or reliance on any third-party service.

Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, graphics, photographs, video, audio, design, presentation, and the selection and arrangement thereof) are owned by Trao.ai, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent, except for your own personal, non-commercial use. You must not use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text. Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Trao.ai or its affiliates. You must not use such marks without our prior written permission.

User Content

You may submit, post, or upload content to the Service ("User Content"). You retain ownership of your User Content, but you grant Trao.ai a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, modify, and display your User Content in connection with operating and providing the Service.

You represent and warrant that you own or control all rights in and to your User Content and that your User Content does not violate these Terms or any applicable law. We may remove or disable User Content at any time if we believe it violates these Terms or is otherwise harmful to the Service or other users.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. TRAO.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

We do not guarantee the accuracy, completeness, or usefulness of any information on the Service or provided through the Service. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Service, or by anyone who may be informed of any of its contents.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TRAO.AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Trao.ai, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties hereby consent to personal jurisdiction and venue therein.

Changes to the Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice by posting the updated Terms on the Service and updating the "Last updated" date, or by sending you an email or other notification. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

General Provisions

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Trao.ai concerning the Service. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction. Any assignment in violation of this section shall be null and void.
